  1. WELCOME TO DIGXIPOP: The website https://digxipop.com (the “Website”) is provided to you by digxipop, owned and managed by Vistar3D Inc. (“digxipop,” “Company,” “we,” “us,” or “our”). digxipop is a U.S.–based company incorporated under the laws of the State of Delaware, with its principal place of business at 800 West Cummings Park, Suite 3450, Woburn, MA, 01801.
  2. WHAT ARE THESE TERMS OF SERVICE
    • Purpose of These Terms: These Terms & Conditions (“Terms”) apply to: (i) your access to and use of the Website; (ii) your access to all DigxiPop online services; and (iii) the sale and purchase of products sold via the Website (the “Products”). Please note that: By accessing or using the Services, you acknowledge and agree to: (i) these Terms; (ii) our Privacy Policy, available at https://www.digxipop.com/en-us/policies/privacy-policy which explains how we collect and use personal data, photos, and cookies; (iii) any additional terms, policies, or conditions referenced in these documents; and (iv) all other rules, policies, and procedures relating to the Services that we may publish from time to time (collectively, “Additional Terms”). If you do not agree to these Terms, do not use our Products or Services. 
    • Changes to These Terms: We may amend these Terms from time to time, including to reflect changes in our Services, technology, payment policies, or applicable law. Any changes will take effect when posted on this page.You are encouraged to review these Terms regularly to stay informed. Your continued use of the Services following any updates constitutes your acceptance of the revised Terms. If you do not agree to any changes, you must stop using the services.
    • Service Availability: We cannot guarantee that the Services, or any content on them, will always be available or uninterrupted. We may need to suspend, withdraw, discontinue, or modify any part of the Services without prior notice — for example, to comply with legal or regulatory obligations or to perform maintenance or updates. If you have a registered account and we are aware of a significant planned disruption, we will provide reasonable notice where possible. We are not liable to you for any loss, damage, or inconvenience arising from the unavailability of the Services at any time or for any period. This does not affect your legal rights, particularly regarding any order that has already been placed and accepted.
  3. ELIGIBILITY AND USE RESTRICTIONS
    • Age Requirement: Our Products and Services are not directed to children under thirteen (13). In compliance with the Children’s Online Privacy Protection Act (COPPA), users under thirteen (13) may use our Services only under the supervision of a parent or legal guardian who agrees to these Terms.     • Jurisdiction: The offer and availability of our Products and Services are directed only to consumers located in the United States and Canada (the “Service Territories”). You may access and purchase our products only if you reside within these territories. We do not represent that our Products or Services are appropriate, available, or legally permitted for use in other locations.
    • Consumers and Authorized Business Purchases: Our Products and Services are primarily intended for individual consumer use, not for resale or unauthorized business-to-business transactions. However, business or corporate purchases (including bulk or custom orders for events, gifts, or promotional purposes) are permitted only with prior written approval or a separate agreement with digxipop. Unless otherwise agreed in writing, all purchases are deemed for personal, non-commercial use and subject to these Terms.
  4. ONLINE STORE TERMS
    • By agreeing to these Terms, you confirm that you are at least the age of majority in your state or country of residence, or that you have obtained consent from a parent or legal guardian to use our Services.
    • You may not use our Products or Services for any unlawful or unauthorized purpose, nor may you violate any laws in your jurisdiction (including intellectual property laws).
    • Any breach of these Terms may result in immediate suspension or termination of your access to the Services.
  5. Content

    You may provide digxipop with photographs, images, and other relevant information for the purpose of creating customized figurines (collectively, the “Input Content”). Based on such Input Content, you will receive corresponding 3D figurine models and physical finished products through the Services (the “Output Content”).
    Input Content and Output Content are collectively referred to as “Content.”

    You are solely responsible for the Content you provide, including ensuring that such Content does not violate any applicable laws, regulations, or the provisions of these Terms.
    You represent and warrant that you possess all necessary rights, licenses, and authorizations required to provide the Input Content to digxipop.

    • Content Ownership

      As between you and digxipop, and to the maximum extent permitted by applicable law:

      (a) You retain all ownership rights in the Input Content, including any photographs, portraits, or other materials you upload;
      (b) You own the Output Content generated based on your Input Content, including the corresponding 3D model results and the final physical figurine products.

    • Content Similarity

      Due to the inherent nature of artificial intelligence–based generation technologies, Output Content generated for different users—whether based on similar or different Input Content—may exhibit similarities in appearance, structure, or style.

      Your rights in your Output Content do not extend to the output content generated for other users, nor do they apply to any works created by third parties.

    • Our Use of Content

      Subject to applicable laws and regulations, digxipop may use your Content solely for the purposes of:

      • providing, fulfilling, and completing your orders;

      • maintaining and improving service processes and quality; and

      • ensuring the security and integrity of the Services.

      Unless otherwise expressly agreed, digxipop will not use your Content for any purposes unrelated to the Services.

  6. PRODUCTS AND ORDERS
    • Certain products may be limited in the quantities. We make every effort to display colors and images accurately; however, your device settings may affect what you see.
    • We reserve the right to: (i) Limit sales to any person, region, or jurisdiction; (ii) Limit quantities of any Product or Service; (iii) Discontinue any Product at any time; and (iv) Cancel or refuse any order at our discretion.
    • All product descriptions, specifications, and prices are subject to change without notice.
    • If we modify or cancel an order, we will attempt to notify you using the contact details provided at checkout.
  7. PRICING AND PAYMENT
    • Prices are displayed in U.S. dollars unless otherwise stated and may change without notice.
    • We accept the payment methods listed at checkout. By submitting payment information, you represent that you are authorized to use the chosen payment method. All payments are processed securely through third-party payment providers. digxipop does not store your complete payment card details.
    • We reserve the right to correct any pricing errors even after an order has been placed or confirmed.
  8. SHIPPING, RETURNS & CANCELLATIONS
    • Shipping times and fees are displayed at checkout and may vary by region. Estimated delivery dates are provided for convenience only and are not guaranteed.
    • For return eligibility and process, please review our Return Policy available at Return and Refund Policy. We reserve the right to refuse returns that do not meet the stated conditions.
    • Custom or personalized items, such as photo-based figurines, are typically non-returnable except in cases of manufacturing defects or errors on our part.
      Custom products may involve minor differences between customer-provided reference images, digital previews, 3D models, and final physical prints. Such minor differences, including reasonable variations in color, texture, proportions, likeness, and very fine details, are not by themselves considered manufacturing defects. Any complimentary preference-based remake offered by DIGXIPOP is governed by our Refund Policy, including applicable return and replacement shipping responsibilities and remake limitations.
  9. THIRD-PARTY SERVICES AND LINKS
    • Our Website may include links to third-party websites or services. These links are provided for your convenience only. We do not endorse or control third-party content or practices.
    • Your use of any third-party service is governed by that party’s terms and policies. We are not responsible for any damages or losses resulting from your interactions with third parties.
  10. USER COMMENTS, FEBACK AND OTHER SUBMISSIONS
    • If you send us feedback, suggestions, reviews, or other content (“User Content”), you grant digxipop a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, and display that content for legitimate business purposes.
    • You agree that your User Content will not: (i) Infringe any third-party rights; (ii) Contain unlawful, defamatory, obscene, or harmful material; or (iii) Include malware or malicious code.
    • We may, but are not obligated to, monitor or remove User Content that we consider inappropriate.

  12. ERRORS, INACCURACIES & OMISSIONS

    In addition to other prohibitions as set forth in the Terms of Service, you are prohibited from using the site or its content: (i) for any unlawful purpose; (ii) to solicit others to perform or participate in any unlawful acts; (iii) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (iv) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (v) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (vi) to submit false or misleading information; (vii) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet; (viii) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (ix) for any obscene or immoral purpose; or (x) to interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet. We reserve the right to terminate your use of the Service or any related website for violating any of the prohibited uses.
  14. AI AND TECHNOLOGY USE
    In addition to the general prohibited uses described above, the following restrictions specifically apply to our use of artificial intelligence and 3D generation technology:
    Our Services use proprietary artificial intelligence and 3D generation technology developed by Vistar3D Inc. to create customized figurines from user-submitted photos. To protect the integrity and safety of our technology, you agree not to: (i) Use our Services for any illegal, harmful, or abusive activities. (ii) Use our Services in a way that infringes, misappropriates, or violates the rights or privacy of others. (iii) Copy, modify, resell, distribute, or reproduce any part of our Services, including generated models or designs, for commercial use without written consent. (iv) Attempt to reverse engineer, decompile, extract, or replicate any part of our AI systems, algorithms, or 3D model generation process. (v) Use automated systems, bots, or scraping tools to extract data, generated images, or 3D outputs from our Services. (vi) Claim that any AI-generated content or figurine output is entirely “human-made” or created without AI assistance. (vii) Use generated content or figurines to train, develop, or enhance other AI or 3D generation systems. (viii) Interfere with, overload, or bypass any rate limits, security systems, or quality-control measures within our Services.
    Violation of these terms may result in suspension or termination of your access to our Services, and DigxiPop reserves the right to pursue legal action if necessary.
  15. DISCLAIMER OF WARRANTIES
    The Services and all Products are provided “as is” and “as available.” digxipop makes no warranties, express or implied, regarding reliability, accuracy, or fitness for a particular purpose. We do not guarantee that the Services will always be error-free, uninterrupted, or free of harmful components.
  16. LIMITATION OF LIABILITY
    To the fullest extent permitted by law, digxipop, Vistar3D Inc., and their affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Services or Products.
    Our total aggregate liability for any claim shall not exceed the amount you paid for the Product giving rise to that claim.
  17. INDEMNIFICATION
    You agree to indemnify, defend and hold harmless online. digxipop and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference or your violation of any law or the rights of a third-party.

    If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

    The failure of digxipop to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms, together with our Privacy Policy and any other policies or operating rules posted by us on this Website or in connection with the Services, constitute the entire agreement and understanding between you and digxipop. They govern your use of the Services and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us (including, without limitation, any prior versions of these Terms).

    These Terms are governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict-of-law principles. You agree that any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, U.S.A.
